# Philos Deck — End User License Agreement (EULA) **Effective date:** 28 July 2026 **Version:** 1.2 (Philos Deck v1) — updated 8 August 2026 (one device per license) **Licensor:** LUTHFRAME™ **Product:** Philos Deck (in-app name: Philos) — command palette extension for Adobe Premiere Pro --- ## 1. Agreement By installing, copying, or using Philos Deck (“Software”), you agree to this EULA. If you do not agree, do not use the Software. ## 2. License grant Subject to your compliance with this EULA and payment of applicable fees (when required), LUTHFRAME grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your personal or internal business video-editing work. Unless stated otherwise at purchase, one license is for **one user** on **one device** at a time. You may transfer activation to a replacement device you own by contacting **philos@luthframe.com** (reasonable use; prior device must be deactivated when self-service transfer is available). ## 3. Purchases and refunds Philos Deck is licensed software delivered digitally (license key and download). **Except where required by applicable consumer law, all sales are final** once a license key is delivered to you. Before purchasing, review the product page for system requirements (Adobe Premiere Pro version, macOS/Windows support, and feature limitations). If you cannot activate due to a technical issue attributable to us, or you were charged in error, contact **philos@luthframe.com** within **fourteen (14) days** of purchase with your order details. LUTHFRAME will work in good faith to resolve activation problems or billing errors. This section does not guarantee refunds for change of mind, failure to read stated requirements, or incompatibility with configurations not listed on the product page. ## 4. Restrictions You may **not**: - Copy, redistribute, resell, rent, lease, or sublicense the Software (except as allowed by law) - Reverse engineer, decompile, or attempt to derive source code, except where prohibited by applicable law - Remove or alter copyright, trademark, or license notices - Use the Software to build a competing product or service - Share license keys publicly or with unauthorized users ## 5. Intellectual property The Software, including code, UI, documentation, and branding (including Philos, Philos Deck, Lexicon, and the Philos app icon), is owned by LUTHFRAME and protected by copyright and other laws. This EULA does not sell the Software — it only grants a license. **Trademark notice:** LUTHFRAME™ is a trademark of LUTHFRAME. Adobe, Premiere Pro, and related marks are trademarks of Adobe Inc. Philos is **not** affiliated with, endorsed by, or sponsored by Adobe. ## 6. Updates and support LUTHFRAME may provide updates, bug fixes, or new versions at its discretion. One-time licenses include updates for **v1.x** releases according to the terms stated at purchase. Support is provided on a reasonable-efforts basis unless a separate support agreement applies. ## 7. Disclaimer of warranties THE SOFTWARE IS PROVIDED **“AS IS”** AND **“AS AVAILABLE”**, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LUTHFRAME does not warrant that the Software will be uninterrupted, error-free, or compatible with every Premiere Pro version, third-party plugin, or operating system configuration. ## 8. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUTHFRAME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, PROJECT FILES, OR BUSINESS OPPORTUNITY, ARISING FROM USE OF THE SOFTWARE. LUTHFRAME’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE IN THE **TWELVE (12) MONTHS** BEFORE THE CLAIM (OR USD $50 IF NO FEE WAS PAID). ## 9. Termination This license ends automatically if you breach this EULA. Upon termination, you must stop using the Software and uninstall it. Sections that by nature should survive (IP, disclaimers, liability limits) survive termination. ## 10. Export and compliance You agree to comply with applicable export-control and sanctions laws. You represent that you are not prohibited from receiving the Software under such laws. ## 11. Governing law This EULA is governed by the laws of the **Republic of Indonesia**, without regard to conflict-of-law rules. Disputes shall be subject to the exclusive jurisdiction of the courts of Indonesia, unless mandatory consumer law in your country requires otherwise. ## 12. Changes LUTHFRAME may update this EULA for new versions of the Software. Continued use after an update constitutes acceptance of the revised EULA for that version. ## 13.
